Steps to Company Formation in Dubai Mainland
Step 1: Select the Business Activity
The first step in forming a mainland company in Dubai is to select your business activity. You can choose from over 2,000 activities. However, the type of business activity you choose will influence your license type and regulatory requirements. So choose it appropriately.
Step 2: Choose a Legal Structure
There are various legal structures in Dubai that you can select from, the most common ones include:
- Limited Liability Company (LLC): This is ideal for most businesses as the owner has limited liability with respect to the company’s debts, profits and losses.
- Sole Proprietorship: This company structure is suitable for individual entrepreneurs who want full control over their business.
- Civil Company: Now this is great for professional services firms such as doctors, lawyers, and engineers.
- Branch of a Foreign Company: This structure is for foreign companies who want to establish their branch office in Dubai.
Step 3: Reserve a Trade Name
Select a unique company name that suits your business activity and comply with DED guidelines.
Step 4: Obtain Initial Approval
Now complete the application form and submit the basic documents required to get an initial approval from DED, which includes submitting basic documents such as passport copies of shareholders and a description of your business activities.
Step 5: Draft a Memorandum of Association (MOA)
Get an MOA drafted that includes information about your company’s capital, share distribution, and operating procedures. Notarize it and submit it to the DED.
Step 6: Rent Office Space
Get an office on lease according to your business needs and budget as it is mandatory to form a company in Dubai. You will need to provide a tenancy contract (Ejari) to obtain your business license.
Step 7: Obtain Approvals from Relevant Authorities
Depending on your business activity, you may be required to submit additional documents for a business license. For instance, if you are opening a restaurant, you will need approvals from the Food Safety Department and healthcare providers will need approval from the Dubai Health Authority.
Step 8: Submit Final Documents and Pay Fees
After you have all the required documents, (initial approval receipt, MOA, trade name certificate, Ejari and other additional documents) submit the documents to DED and pay the required fees.
Step 9: Get the Business License
Once your documents are verified, the DED authorities will issue your business license and you are now free to start your business in Dubai officially.
