The Two Registration Thresholds 

The UAE has established clear financial thresholds to determine whether a business must register for VAT . 

Mandatory Registration: AED 375,000 

A business must register for VAT if the total value of its taxable supplies and imports exceeds AED 375,000 in the previous 12 months. This threshold also applies if the business expects to exceed AED 375,000 in the next 30 days . 

Once you cross this threshold, you are required to apply for VAT registration within 30 days. Failing to do so results in a penalty of AED 10,000 . 

Voluntary Registration: AED 187,500 

Businesses that do not meet the mandatory threshold may still apply for voluntary registration if their taxable supplies and imports (or taxable expenses) exceed AED 187,500 in the previous 12 months, or are expected to do so in the next 30 days . 

Voluntary registration can be beneficial for startups or businesses looking to reclaim input VAT on their purchases. It also enhances business credibility and demonstrates a commitment to compliance . 

Special Cases: Free Zones and Foreign Businesses 

Free Zone Companies 

A common misconception is that businesses operating in a UAE Free Zone are automatically exempt from VAT . This is incorrect. Most Free Zone companies are treated similarly to mainland businesses for VAT purposes, and the same registration thresholds apply . 

However, there is a distinction between Designated Zones and regular Free Zones. Designated Zones are treated as being outside the UAE for certain goods transactions, but this special treatment does not automatically apply to services . Free Zone businesses must carefully assess their turnover and activities to determine their VAT obligations . 

Non-Resident Foreign Businesses 

Foreign businesses that make taxable supplies in the UAE must register for VAT, regardless of the value of those supplies. There is no registration threshold for non-resident businesses . If you are a foreign company operating in the UAE, you are required to register from your first taxable sale . 

What Happens If You Register Late? 

The FTA imposes significant penalties for non-compliance. Understanding these can save your business from costly mistakes: 

Violation Penalty 
Late VAT registration (failing to register within 30 days of crossing the threshold) AED 10,000  
Late return filing (first offence) AED 1,000  
Late return filing (repeat within 24 months) AED 2,000  
Late payment of VAT due 14% per annum on the outstanding balance  
Failure to keep required records (first offence) AED 1,000  
Failure to keep records (repeat within 24 months) AED 20,000  

It is also important to note that if you fail to register on time, the FTA may require your business to account for VAT on all taxable supplies made from the date the registration obligation arose, meaning you could be liable for backdated VAT .
